UNIVERSAL HOME APPLIANCE PROTECTION PLAN SERVICE AGREEMENT

PLEASE READ CAREFULLY

This service agreement, (hereinafter referred to as “APPLIANCE PROTECTION PLAN”) is between Universal Home Services (herein after referred to as, ”We”, ”Us”, and ”Our”) and the APPLIANCE PROTECTION PLAN Purchaser (hereinafter referred to as ”Purchaser”, ”You”, and ”Your”).

To provide administrative and claim handling services, Universal Home Services has retained an Administrator Universal Administrators Services, Inc., P.O. Box 1305, Louisville, Kentucky, 40059 (hereinafter referred to as ”Administrator”). All covered repairs will be serviced by qualified Contractors through the Administrator.

I. WHAT YOUR Universal Home Services APPLIANCE PROTECTION PLAN COVERS:

The provisions of the Universal Home Services APPLIANCE PROTECTION PLAN provide for the repair of covered parts and labor for "Mechanical or Electrical Breakdown" less a Homeowner Trade Service Fee. Mechanical or Electrical breakdown is defined as failure, (not gradual reduction in operating performance due to wear and tear), of a defective covered part or faulty workmanship of a covered part. Replacement will be made with like kind and quality, and a description of all repairs will be furnished to, and signed by the Purchaser. Meaningful service will be initiated, under normal circumstances, within 48 hours of your request and will be completed as soon as possible. Emergency service is available 24 hours a day for Central Home Heating and Air Conditioning Systems, if those products are named in Section II of this agreement. Service is considered an emergency when the Central Home Heating or Air Conditioning System malfunctions during a period of cold weather or when the temperature exceeds 95 degrees Fahrenheit.

All brands and ages of equipment will be covered under the Universal Home Services APPLIANCE PROTECTION PLAN subject to availability of repair parts. Only those parts specifically named are eligible for coverage:

IV. HOW YOU GET SERVICE:

To file a claim call the Administrator toll free at 18004567576 during normal working hours Monday Friday, 9:00AM ET 8:00PM ET. Emergency service is available 24 hours a day for Central Home Heating and Air Conditioning Systems, if those products are named in Section II of this APPLIANCE PROTECTION PLAN. Service is considered an emergency when the Central Home Heating or Air Conditioning System malfunctions during a period of cold weather or when the temperature exceeds 95 degrees Fahrenheit. We will not pay for any services performed without prior authorization. Notice of any mechanical or electrical breakdown must be given to us immediately upon discovery and must be during the coverage period.

V. LIMIT OF LIABILITY AND CONDITIONS:
  1. This agreement provides coverage on a monthly basis and is billed monthly to your Universal Home Services monthly statement. The term of this agreement begins 30 days after we receive your first payment and ends one month thereafter. It will be automatically renewed on a monthly basis until terminated. Coverage ends in the event of nonpayment.
  2. All owneroccupied homes, condominiums and town homes are eligible for coverage.
    1. Old appliances and electronic equipment, being mechanical, may wear out. In addition, parts may not be available for older appliances and electronic equipment. In these cases, the following guidelines will be implemented to provide a replacement allowance. For heating or cooling equipment named in Section II of this agreement, a $500 replacement allowance will be paid to the customer if the heating or cooling equipment is over 10 years old and the repair is over $500 or parts are not
    2. available to repair the equipment. This repair allowance will increase by $50 for each full year the customer has been in the program up to a maximum of $750. For appliances (nonheating or cooling) and electronic equipment named in section II of this APPLIANCE PROTECTION PLAN, a $500 replacement allowance will be paid to the customer if the appliance repair exceeds the value or parts are not available to repair the appliance. Proof of purchase of a new heating or cooling system or appliance is required in the form of a purchase receipt before this replacement allowance will be paid.
  3. The amount we will pay for the repair or replacement of a covered appliance or electronic equipment shall not exceed the original purchase price of the covered appliance or electronic equipment. If we decide to replace the covered appliance or electronic equipment, we are not responsible for replacement equipment of similar features, capacity and efficiency, nor matching dimensions, brand, or color. We are not responsible for upgrades nor for the cost of construction, carpentry, or other modifications made necessary by existing equipment or installing different equipment.
  4. Administrator assumes no responsibility unless the Trade Service Fee and/or Deductible is met.
  5. In the event that there is any other collectable insurance, warranty, or guaranty coverage available to the Purchaser covering a loss also covered by this APPLIANCE PROTECTION PLAN, this APPLIANCE PROTECTION PLAN will pay in excess of and not contribute with other insurance, warranty or guaranty.
  6. All equipment covered by this APPLIANCE PROTECTION PLAN must be an ongoing part of the residence and in good working condition at the time you sign up for the program and be reasonably clean and accessible at the time of service.
  7. If it is determined that coverage under this APPLIANCE PROTECTION PLAN does not apply, or no covered breakdown is discovered, you are responsible for the entire cost of the repair visit.
  8. If you are delinquent in your monthly payments, service under this APPLIANCE PROTECTION PLAN may be denied.
  9. The price of this service may be adjusted from time to time. Notice of any price adjustment will be given to you, in writing at least thirty days prior to implementation. You may terminate the APPLIANCE PROTECTION PLAN by giving written notice prior to the effective date of increase.
  1. A minimum of four appliances must be selected for coverage under this APPLIANCE PROTECTION PLAN to be valid. Enrolling in either the Package A or the Package B constitutes fulfillment of this requirement.
  2. Universal Home Services APPLIANCE PROTECTION PLAN is nontransferable and is only valid to the original Purchaser/residence.
  3. This is not a contract of insurance, however, the performance of this contract is guaranteed by Fidelity and Deposit Company of Maryland Colonial American Casualty and Surety Company, 3 authorized to transact surety insurance in the state of Georgia and Wisconsin, with home offices located at PO Box 1227, Baltimore, MD 02120. In the event a valid claim is not paid within 60 days of receipt, the customer may file directly with surety company at the address listed above.
  4. In the event that you are without full use of your appliance during repair, your contract will be extended for that period.

VI. EXCLUSIONS

We are not responsible for:

  1. The alteration, modification, addition, or deletion from the covered product, nor does it cover performance of routine maintenance.
  2. Home Heating, Central Air Conditioning, and Heat Pump Systems: Not covered are baseboard casings, portable units, solar heating systems, fireplaces, chimneys, filters, registers, grills, clocks, timers, heat lamps, fuel storage tanks, and flues and vents, gas air conditioning systems, condenser casings, portable electric air cleaners, wall units not ducted when designed to be ducted by the original manufacturer, cabinets, cabinet pieces, painting, decoration and trim, filters and cleaners, humidifiers, driers, refrigerant, refrigerant line sets, belts, wiring, wiring harness, fuses, circuit breakers, drains, and unit accessories. Only natural gas/propane space heaters used for heating customer's entire residence are covered as central heat.
  3. Refrigerator: Not covered are chilled water dispensing, SubZero’s and ice making controls, valves, and any other parts not named as covered in section IV of this APPLIANCE PROTECTION PLAN.
  4. Consequential, indirect, or direct damages, injury or illness caused by delays, nonavailability of parts, failure to service, labor difficulties and other conditions beyond the Administrator's control. We reserve the right to use qualified contractors, select parts to be used, and to restrict certain makes of equipment used to fulfill all or any part of our obligation under the terms of this APPLIANCE PROTECTION PLAN.
  5. Any loss or damage arising directly or indirectly from nuclear reaction, nuclear radiation, or radioactive contamination however such nuclear reaction, nuclear radiation, or radioactive contamination may have been caused.
    1. Any material, parts or labor required as a result of; abuse, misuse, vandalism, terrorist acts, acts of war, freezing, fire, wind, water, lightening, ice, snow, explosion, mud, earthquake, pet damage, pest damage, acts of God, power or water fluctuations, flooding, riots, or military unrest; damage caused by equipment not covered; repairs covered by manufacturer's
    2. recall, warranty, or other service contract; modifications, improper installation, alterations, unauthorized repair; consequential or inconsequential damage; maintenance; or damage to exterior surfaces. This APPLIANCE PROTECTION PLAN does not cover accessories such as knobs, buttons, handles, shelves, inner door liners, etc. nor maintenance items, such as filters. Failures due to rust, corrosion, or physical damage are not covered. Food spoilage and damage to clothes are not covered.
  6. The lack of capacity, adequacy, efficiency, design or improper installation of any system, appliance or electronic equipment.
  7. Chemical or sedimentary build up, failure to clean or maintain as specified by the equipment manufacturer, missing parts, or structural changes.
  8. Preexisting conditions, defects or deficiencies.
  9. Any service or repair associated with hazardous material treatment, removal, or disposal. The Universal Home Services APPLIANCE PROTECTION PLAN does not cover disconnection or installation of the appliance(s), nor does it cover the cost of hauling away or disposing of the covered product. This APPLIANCE PROTECTION PLAN does not cover the cost of opening or closing walls, floors, or ceilings.
  10. Charges for parts and services provided without prior authorization of the Administrator.
  11. Correcting or upgrading any parts, system, appliance, or electronic equipment in order to comply with any federal, state or local laws, regulations, or ordinances or utility regulations, or to meet changes in efficiency requirements (including but not limited to, heating system efficiency requirements), or to meet current building or zoning codes requirements, or to correct for code violations. This includes any corrections or upgrades at the time of repair, which are required by law, regulation or ordinance. We are not responsible for service when permits cannot be obtained, nor will we pay any costs relating to permits.
VII. CANCELLATION OF THE APPLIANCE PROTECTION PLAN:

PURCHASER may cancel the Universal Home Services APPLIANCE PROTECTION PLAN by CONTACTING Universal Home Services via mail at P.O. Box 1305, Louisville, Kentucky, 40059 or by faxing notification to 8885813330 Attn. Universal Home Services APPLAINCE PLAN PLUS, Supervisor. Cancellation becomes effective at the end of the current month of coverage. If this APPLIANCE PROTECTION PLAN is cancelled, the PURCHASER shall be entitled to a full refund within the first 30 days, beyond that date a 100% prorata refund of the paid APPLIANCE PROTECTION PLAN price for the unexpired term shall be paid.

We reserve the right to change or cancel this APPLIANCE PROTECTION PLAN upon 30 days written notice. However, in the event of fraud, material misrepresentation, failure to pay, or termination as a Universal Home Services customer, cancellation may be immediate. This monthly APPLIANCE PROTECTION PLAN will automatically expire at the end of the monthly term for which the monthly agreement price has not been paid in advance. Once this APPLIANCE PROTECTION PLAN is cancelled, you will be subject to a (30) thirtyday waiting period if you choose to join the APPLIANCE PROTECTION PLAN again. In the event of cancellation for fraud or material misrepresentation, we may demand immediate payment of the cost of all services provided to Purchaser, less any payments made.

STATE AMENDMENTS This APPLIANCE PROTECTION PLAN is amended to comply with the following state requirements;

California, Virginia, Florida, Mississippi, Arizona, Iowa, Massachusetts, Oregon, Texas and Wisconsin

We, Us, and Our refer to UHS.

South Carolina:

The obligations of the provider under this service contract are backed by the full faith and credit of the provider Universal Administrators Services, Inc.

The Service contract holder is allowed to return the service contract within 20 days of the date the service contract is mailed to the service contract holder or within 10 days of the delivery if the service contract is delivered to the service contract holderat the time of sale or within a longer time period permited under the service contract. Upon the return of the service contract to the provider within the applicable time period, if no claim has been made under the service contract prior to its return to the provider, the service contract is void and the provider shall refund to the service contract holder, or credit the account of the service contract holder, with the full purchase price of the service contract

A ten percent penalty per month shall be added to a refund that is not paid or credited within 45 days after the return of the service contract to the provider. Complaints may be directed to the South Carolina department of Insurance, Post Office Box 100105, Columbia, SC 292023105, or (800) 7683467.

North Carolina:

This coverage is not required to obtain financing of any home or appliance.

Connecticut

In the section entitled:

VIII. CANCELLATION OF THE APPLIANCE PROTECTION PLAN: The following is added: When cancellation is for nonpayment of premium, at least 10 days written notice of cancellation accompanied by the reason therefore shall be given. In all other cases, at least sixty days advance notice shall be given. No notice of cancellation shall be effective unless it is sent, by registered or certified mail, or delivered by the Company to the named insured by the required date.

Iowa

This APPLIANCE PROTECTION PLAN is subject to regulation by the Insurance Department of Iowa. Complaints which are not settled by Us may be sent to the Iowa Insurance Department.

Nevada, New Mexico

The second paragraph of the section entitled;

VIII. CANCELLATION OF THE APPLIANCE PROTECTION PLAN: Is deleted in its entirety and replaced with the following: If this APPLIANCE PROTECTION PLAN has been in effect for 70 days or more, or is a renewal of an APPLIANCE PROTECTION PLAN We issued, We may cancel this APPLIANCE PROTECTION PLAN for one or more of the following reasons:

a. Nonpayment of premium;
b. Conviction of the Insured of a crime that affects the risk insured;
c. Fraud or material misrepresentation;
d. Willful or reckless act or omission by the Insured increasing the hazard insured against;
e. Material change in risk;
f. Determination by the Insurance Commissioner that the continuation of the Policy would violate Nevada law.

When cancellation is for nonpayment of premium, at least 10 days written notice of cancellation accompanied by the reason therefore shall be given. In all other cases, at least 30 days advance notice shall be given. No notice of cancellation shall be effective unless it is sent, by registered or certified mail, or delivered by the Company to the named insured by the required date.

New Hampshire

Important: If the authorized repairer reports that a service call is made for problems not covered by this APPLIANCE PROTECTION PLAN, You will be billed for any services provided.

Important: If You should feel aggrieved with Us or Our agents, a complaint may be filed with the Insurance Department, 169 Manchester Street, Concord, NH 03301, or call toll free 18008523416.

Virginia, New Hampshire, and Oregon

In the section entitled V.HOW TO GET SERVICE: The following wording is added: Meaningful service will provided within 48 hours of Your request and will be completed as soon as reasonably possible, or immediately in case of furnace or heating system malfunction during periods of cold weather: If no meaningful service is initiated within said time limits and if You have been reasonably available within said time limits, You may engage Your own serviceman at Our expense.

Texas

In the section entitled:

VI. LIMIT OF LIABILITY AND CONDITIONS: Paragraph number nine (9) is deleted in its entirety and replaced with the following:

9. The price of this service may be adjusted from time to time. Notice of any price adjustment will be given to you, in writing at least sixty (60) days prior to implementation. You may terminate coverage by giving written notice prior to the effective date of increase.

The first sentence of the second paragraph of the section entitled:

VIII. CANCELLATION OF THE APPLIANCE PROTECTION PLAN: Is deleted and replace with the following; We reserve the right to change or cancel] APPLIANCE PROTECTION PLAN upon 60 days written notice. We will not cancel this APPLIANCE PROTECTION PLAN within the first six (6) months, except on the case of fraud, misrepresentation, nonpayment of premium, or termination as a Customer.

Virginia

Notice: The purchase of this APPLIANCE PROTECTION PLAN is not mandatory and may be waived.

If You have been unable to contact or obtain satisfaction from the Administrator, you may contact the Virginia Bureau of Insurance at

Box 1157, Richmond, VA 23218; telephone number 8043719741. Written correspondence is preferable so that a record of Your inquiry is maintained. When contacting Your agent, company or the Bureau of Insurance, have Your APPLIANCE PROTECTION PLAN number available.
V.
HOW TO GET SERVICE: The following wording is added: You are obligated to provide information relating to the cause and nature of any mechanical or electrical breakdown. This information may include estimates. You must sign forms needed for Us to provide service under this APPLIANCE PROTECTION PLAN. In all cases, You must take every precaution to protect the covered property until the necessary repair or replacement is authorized by Us and the work is completed.

In the section entitled: In the section entitled:

VI. EXCLUSIONS: the following paragraph is amended as follows:

9. Preexisting known defects or deficiencies.

VIII.CANCELLATION OF THE APPLIANCE PROTECTION PLAN: We may cancel this agreement for the following reasons:

1. Nonpayment of agreement fees;

2. Fraud or proven misrepresentation of facts material to the issuance of this APPLIANCE PROTECTION PLAN; With ten (10) days advance written notice. We reserve the right to change or not renew the APPLIANCE PROTECTION PLAN for any reason upon thirty (30) days written notice. Once this APPLIANCE PROTECTION PLAN is not renewed, You will be subject to a thirty

(30) day waiting period if you choose to join the APPLIANCE PROTECTION PLAN again. In the event of cancellation for fraud or material representation, We may demand immediate payment of the cost of all service provided to You, less the APPLIANCE PROTECTION PLAN amount paid for up to one year.

Wisconsin

The section entitled:

V. HOW YOU GET SERVICE: Is deleted and replaced with the following: To file a claim call the Administrator toll free at 18004567576 during normal working hours Monday Friday, 9:00AM 6:00PM. Emergency service is available 24 hours a day for Central Home Heating and Air Conditioning Systems, if those products are covered by the APPLIANCE PROTECTION PLAN. Service is considered an emergency when the Central Home Heating or Air Conditioning System malfunctions during a period of cold weather or when the temperature exceeds 95 degrees Fahrenheit. We may not pay for any services preformed without prior authorization. Notice of any mechanical or electrical breakdown must be given to us as soon as reasonably possible, upon discovery and must be during the APPLIANCE PROTECTION PLAN period.

The second paragraph of the section entitled: VIII.CANCELLATION OF THE APPLIANCE PROTECTION PLAN: Is deleted in its entirety and replaced with the following:

1. We may cancel for the following reasons:

a.
Nonpayment of APPLIANCE PROTECTION PLAN fees;
b.
Fraud or misrepresentation of facts material to the issuance of this APPLIANCE PROTECTION PLAN, or the payment of a claim;
c.
For any reason, if not previously renewed and if in effect for less than sixty (60) days at the time of mailing or delivery of a notice of cancellation;
d.
In the event of substantial change in the risk assumed by Us under this APPLIANCE PROTECTION PLAN, except to the extent that We could reasonably have foreseen the change or contemplated this risk in writing this APPLIANCE PROTECTION PLAN.
  1. No cancellation by Us for any reason shall be effective until ten (10) days after the First Class mailing or delivery of a written notice of cancellation to the Purchaser:
  2. If this APPLIANCE PROTECTION PLAN is canceled by Us the Purchaser of the agreement shall be entitled to a pro rata refund of the paid agreement fee for the unexpired term, less administrative costs incurred by Us.
  3. Purchaser may, within 15 calendar days of delivery of the agreement, reject and return the agreement for a full refund, less actual costs incurred by Us in issuance of and service under this APPLIANCE PROTECTION PLAN.

This APPLIANCE PROTECTION PLAN is subject to limited regulation by the Office of the Commissioner of Insurance.
